Iqraa Bookshop™ Vendor Agreement & Marketplace Terms

Effective Date: September 3, 2026
Version: 1.0

This Vendor Agreement & Marketplace Terms (“Agreement”) governs participation as a seller (“Vendor”) on the Iqraa Bookshop marketplace (“Iqraa,” “Marketplace,” “we,” “us,” or “our”).

By registering as a Vendor and electronically accepting this Agreement, the Vendor acknowledges that it has read, understood, and agrees to be bound by these terms.

1. Independent Marketplace Sellers

Iqraa operates an online marketplace through which independent Vendors may offer approved products to customers.

Vendors are independent sellers and are not employees, agents, partners, franchisees, joint venturers, or representatives of Iqraa.

Unless Iqraa expressly agrees otherwise in writing, each Vendor is responsible for its own products, listings, inventory, pricing, fulfillment, business operations, customer-related obligations, taxes, and compliance with applicable laws.

Nothing in this Agreement authorizes a Vendor to make commitments or representations on behalf of Iqraa.

2. Vendor Eligibility & Account Information

Vendors must provide accurate, complete, and current information when creating and maintaining their accounts.

Vendors are responsible for maintaining the security of their accounts and for activity conducted through them.

Iqraa may request information reasonably necessary to verify a Vendor’s identity, business information, payment information, product rights, or eligibility to participate in the Marketplace.

Vendors must promptly update materially inaccurate or outdated account information.

3. Approved & Prohibited Products

Iqraa Bookshop is a curated marketplace. Products offered through the Marketplace must be appropriate for Iqraa’s marketplace purpose, audience, standards, and values.

Iqraa reserves the right, in its reasonable discretion, to approve, reject, restrict, temporarily hide, or remove a product or listing that:

  • is illegal, counterfeit, pirated, stolen, fraudulent, or unauthorized;
  • infringes or is reasonably alleged to infringe intellectual-property or other third-party rights;
  • contains pornography, sexually explicit or obscene material, or other content Iqraa determines is inappropriate for the Marketplace;
  • promotes hatred, violence, discrimination, abuse, or unlawful activity;
  • is materially misleading, deceptive, unsafe, or improperly represented;
  • falls outside the intended scope of the Iqraa Marketplace;
  • conflicts with Iqraa’s Islamic values, standards, or mission; or
  • creates a reasonable legal, financial, reputational, customer-safety, payment-processing, or Marketplace-integrity concern.

The fact that a product is lawful does not require Iqraa to permit that product on the Marketplace.

Removal or rejection of a product does not necessarily result in termination of the Vendor’s account. Repeated or serious violations may result in additional restrictions, suspension, or termination.

4. Product Listings & Accuracy

Vendors are responsible for ensuring that their product listings are accurate, complete, and not misleading.

This includes, where applicable, product titles, descriptions, photographs, prices, condition, language, edition, ISBN, format, availability, processing time, product specifications, and other information material to a customer’s purchasing decision.

Vendors may only list products they are authorized to sell.

Product photographs and other content should accurately represent the product being offered.

Iqraa may edit, reject, temporarily hide, or remove listings that are inaccurate, incomplete, misleading, duplicated, prohibited, or inconsistent with Marketplace standards.

5. Pricing

Vendors are responsible for establishing and maintaining their own product prices.

Vendors are expected to honor the price displayed when an order is placed, except when Iqraa determines that an obvious pricing, listing, or technical error has occurred.

Vendors may not manipulate product prices, shipping charges, discounts, or other transaction components for the purpose of misleading customers or avoiding Marketplace commissions or fees.

Nothing in this Agreement requires a Vendor to offer Iqraa the lowest price at which the Vendor sells the same product through another sales channel.

6. Marketplace Fees & Commission

There is currently no monthly Vendor fee and no listing fee for standard participation in the Iqraa Marketplace.

Unless a separate written agreement provides otherwise, Iqraa retains a 20% Marketplace commission, and the Vendor receives 80% of applicable product sales revenue, subject to refunds, returns, cancellations, chargebacks, payment-processing adjustments, taxes where applicable, and other adjustments permitted under this Agreement.

Iqraa may introduce or modify Marketplace fees or commission structures in the future after providing Vendors reasonable notice of a material change.

Changes will apply prospectively and will not retroactively change the commission applicable to transactions already completed before the new terms became effective.

Separate written agreements between Iqraa and a Vendor may establish different commercial terms.

7. Vendor Payments

Vendor earnings become eligible for payout 14 days after the applicable order is completed, subject to this Agreement, Iqraa’s current payout procedures, and applicable payment-provider requirements.

A payout may be delayed, withheld, reduced, or adjusted when reasonably necessary because of a refund, return, cancellation, customer dispute, chargeback, suspected fraud, payment-processing delay, Vendor account issue, amount owed to Iqraa, or other legitimate transaction-related issue.

Vendors are responsible for maintaining accurate payment, banking, tax, and account information necessary to receive payouts.

Eligibility for payout does not guarantee that funds will be received exactly on the fourteenth day. Actual transfer timing may depend on Iqraa’s payout process and the applicable bank or payment provider.

If an adjustment becomes necessary after a Vendor has already received a payout, Iqraa may deduct the applicable amount from future Vendor earnings or seek repayment where appropriate and permitted by law.

8. Physical Product Fulfillment

For physical products represented as in stock, Vendors are expected to ship orders within 3 business days after receiving the order unless a longer processing time was clearly disclosed on the applicable product listing before purchase.

Vendors are responsible for:

  • maintaining reasonably accurate inventory and availability;
  • shipping the correct product in the condition represented;
  • appropriately packaging products for shipment;
  • providing valid tracking information when applicable;
  • maintaining reasonably accurate order and fulfillment information; and
  • reasonably cooperating with Iqraa in resolving missing, damaged, incorrect, delayed, or undelivered orders.

If a Vendor cannot fulfill an order, the Vendor must promptly notify Iqraa and must not falsely represent the order as shipped or fulfilled.

Made-to-order, personalized, special-order, preorder, or other products requiring additional processing time may be permitted when the expected processing time is clearly disclosed to the customer before purchase.

When a replacement, reshipment, refund, or other reasonable expense results from a Vendor’s fulfillment error, failure to fulfill an order, material misrepresentation, or inadequate packaging, Iqraa may hold the Vendor responsible for the resulting reasonable costs to the extent permitted by applicable law.

9. Returns, Refunds & Vendor Policies

Each Vendor may establish its own return, refund, and exchange policy for physical products, subject to applicable law and the minimum Marketplace protections contained in this Agreement.

Vendors must complete and maintain a clear and accurate Shipping Policy and Refund Policy through the Vendor Dashboard before offering physical products for sale. These policies will be made available to customers on applicable physical product pages through the Marketplace.

Vendors may determine their own:

  • return window;
  • return eligibility;
  • exchange policy;
  • return-shipping responsibility; and
  • final-sale restrictions,

where permitted by applicable law.

Regardless of a Vendor’s individual policy, a Vendor remains responsible for orders that are not fulfilled and for products that are incorrect, materially different from their listing, or damaged or defective due to circumstances attributable to the Vendor.

A “no returns,” “final sale,” or similar Vendor policy does not eliminate these minimum responsibilities.

When a refund, replacement, reshipment, chargeback, or other customer adjustment results from a Vendor’s error or failure to meet its obligations, Iqraa may deduct the applicable amount from current or future Vendor earnings or otherwise recover amounts owed, to the extent permitted by applicable law.

Iqraa reserves the right to issue or require a refund when reasonably necessary to comply with applicable law, payment-provider requirements, Marketplace protections, fraud prevention, or a material violation of this Agreement.

If a Vendor’s individual return or refund policy conflicts with the minimum protections contained in this Agreement, this Agreement controls.

10. Digital Products & Iqraa Teacher Marketplace

Vendors selling digital products or educational resources through the Iqraa Teacher Marketplace are responsible for ensuring that their files are accurately described, functional, complete, and delivered in the formats represented.

Because digital products may become immediately accessible following purchase, digital products may be subject to different refund rules from physical products.

Except where required by law or otherwise determined appropriate by Iqraa, a digital product that has been downloaded or accessed is generally not eligible for return or refund solely because the customer changes their mind.

Iqraa may provide or require a refund, replacement file, corrected file, or other reasonable remedy when appropriate, including circumstances involving:

  • duplicate charges;
  • corrupted or unusable files;
  • failure to receive purchased access;
  • missing material represented as included; or
  • a resource that is materially different from its listing.

Vendors are responsible for reasonably cooperating in resolving legitimate technical or content problems involving their digital products.

11. Intellectual Property

Vendors represent that they own or possess all rights, licenses, permissions, and authorizations necessary to sell their products and to provide the product images, descriptions, digital files, trademarks, logos, and other content submitted to Iqraa.

Vendors may not list counterfeit, pirated, unauthorized, or unlawfully reproduced products or materials.

Vendors retain ownership of content they own.

By submitting content to the Marketplace, the Vendor grants Iqraa a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, resize, format, distribute, and use that content as reasonably necessary to:

  • operate the Marketplace;
  • display and promote the Vendor’s store and products;
  • advertise or market products available through Iqraa; and
  • operate Iqraa’s related Marketplace services.

This license does not transfer ownership of the Vendor’s intellectual property to Iqraa.

12. Teacher-Created Materials & Copyright

Vendors submitting educational or digital resources are responsible for ensuring that their materials do not infringe another person’s copyright, trademark, privacy, publicity, or other rights.

Purchasing, downloading, receiving, or otherwise obtaining another person’s worksheet, curriculum, book, illustration, photograph, template, presentation, lesson, or other material does not by itself grant the Vendor permission to reproduce, distribute, modify, or resell that material.

Vendors must obtain any licenses or permissions necessary for third-party content incorporated into their resources.

Iqraa may remove or restrict materials in response to credible intellectual-property concerns and may request reasonable evidence that a Vendor possesses the necessary rights to distribute particular materials.

Repeated or serious intellectual-property violations may result in suspension or termination.

13. Customer Information & Privacy

Customer information obtained through Iqraa may be used only as reasonably necessary to:

  • fulfill the customer’s order;
  • provide permitted customer service;
  • process an authorized return, refund, or replacement;
  • address an order-related problem; or
  • comply with applicable law.

Vendors may not sell, improperly share, harvest, or otherwise misuse Iqraa-provided customer information.

Vendors may not add Iqraa customers to external email, SMS, direct-marketing, or other marketing lists without the customer’s separate consent.

Vendors must take reasonable measures to protect customer information available to them through the Marketplace.

14. Customer Communication & Marketplace Circumvention

Vendors may operate and independently market their own websites, physical stores, mailing lists, marketplaces, and other sales channels.

Ordinary Vendor branding on products and packaging is permitted.

However, Vendors may not use Iqraa customer information, Marketplace messaging, order communications, packaging materials, product listings, or other Marketplace services primarily to redirect an Iqraa-originated transaction away from Iqraa for the purpose of avoiding Iqraa commissions or fees.

Nothing in this section prevents a Vendor from independently attracting customers to its own business through marketing or relationships developed independently of Iqraa.

15. Reviews & Marketplace Integrity

Vendors may not create, purchase, manipulate, or solicit fraudulent or misleading reviews, ratings, transactions, or other Marketplace activity.

Vendors may not review their own products through undisclosed accounts.

Vendors may not offer payment, discounts, free products, or other compensation specifically in exchange for a positive review or particular rating.

Vendors may appropriately encourage customers to provide honest reviews as long as the Vendor does not require a particular rating or sentiment.

16. Taxes & Legal Compliance

Vendors are responsible for complying with laws and regulations applicable to their businesses and products.

Each Vendor is responsible for its own business registrations, licenses, permits, product requirements, tax obligations, and other legal responsibilities except to the extent a particular tax or obligation is expressly collected, remitted, or handled by Iqraa as required by applicable law.

Vendors are responsible for providing Iqraa with tax or business information reasonably required for Marketplace operations or legal compliance.

17. No Guarantee of Sales

Participation in the Marketplace does not guarantee traffic, exposure, search placement, product placement, customer interest, revenue, or sales.

Participation in an Iqraa promotion, feature, collection, campaign, book fair, or other marketing activity likewise does not guarantee a particular commercial result unless a separate written agreement expressly provides otherwise.

Iqraa may determine how products, Vendors, recommendations, categories, search results, and promotional placements are displayed, subject to applicable law and any applicable separate written agreement.

18. Marketplace Availability & Changes

Iqraa may modify, improve, suspend, discontinue, or replace Marketplace features and functionality as the Marketplace develops.

Iqraa does not guarantee uninterrupted or error-free availability of the website or Vendor services.

Iqraa will make reasonable efforts to operate the Marketplace reliably but is not responsible for interruptions, delays, or failures outside its reasonable control.

19. Suspension & Termination

Iqraa may restrict, suspend, or terminate a Vendor account or remove listings when reasonably necessary to protect customers, Iqraa, other Vendors, or Marketplace integrity.

Reasons may include:

  • material or repeated violations of this Agreement;
  • fraud or reasonably suspected fraud;
  • counterfeit, pirated, or unauthorized products;
  • intellectual-property violations;
  • repeated fulfillment failures;
  • excessive unresolved customer complaints;
  • manipulation of reviews or transactions;
  • misuse of customer information;
  • attempts to circumvent Marketplace commissions or fees;
  • amounts owed to Iqraa; or
  • other conduct creating a material legal, financial, reputational, safety, payment-processing, or Marketplace-integrity concern.

When reasonably appropriate, Iqraa may provide notice and an opportunity to correct a violation.

Iqraa may act immediately when circumstances reasonably require immediate action to protect customers, Iqraa, payment systems, other Vendors, or the Marketplace.

A Vendor may stop selling through the Marketplace, subject to completing outstanding orders and resolving remaining obligations.

Suspension, termination, or voluntary departure does not eliminate obligations arising from transactions or conduct occurring beforehand, including fulfillment, refunds, returns, replacements, disputes, chargebacks, amounts owed, customer-data obligations, or intellectual-property claims.

20. No Endorsement

Approval of a Vendor or product for sale through the Marketplace does not constitute Iqraa’s endorsement of that Vendor, its organization, its views, or its products or activities outside the Marketplace.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Iqraa will not be liable to a Vendor for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, or lost data arising from or relating to the Marketplace or this Agreement.

To the fullest extent permitted by applicable law, Iqraa’s aggregate liability to a Vendor arising from or relating to the Marketplace or this Agreement will not exceed the total Marketplace commissions actually paid to Iqraa by that Vendor during the six months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.

22. Indemnification

To the extent permitted by applicable law, the Vendor agrees to indemnify, defend, and hold harmless Iqraa Bookshop and its owners, officers, employees, and agents from third-party claims, damages, liabilities, judgments, settlements, and reasonable costs and expenses, including reasonable attorneys’ fees, to the extent arising from:

  • the Vendor’s products, listings, or content;
  • the Vendor’s actual or alleged infringement of third-party intellectual-property or other rights;
  • the Vendor’s violation of applicable law;
  • the Vendor’s fulfillment, shipping, packaging, or handling of an order;
  • the Vendor’s misuse of customer information; or
  • the Vendor’s material breach of this Agreement.

This section does not require the Vendor to indemnify Iqraa to the extent a claim results from Iqraa’s own unlawful conduct or material breach of this Agreement.

23. Changes to These Terms

Iqraa may update this Agreement as the Marketplace, its services, business practices, or applicable requirements change.

When a change materially affects Vendors’ rights or obligations, Iqraa will provide reasonable notice through the Marketplace, Vendor account, email, or another reasonable method before the change becomes effective, except when an immediate change is reasonably necessary for legal compliance, security, fraud prevention, payment-processing requirements, or similar circumstances.

Materially revised versions of this Agreement may require Vendors to affirmatively accept the updated terms before continuing certain Marketplace activities.

Continued participation after an updated Agreement becomes effective may constitute acceptance of the updated terms to the extent permitted by applicable law.

24. Notices

Iqraa may provide notices to Vendors through the Vendor Dashboard, the email address associated with the Vendor’s account, or another reasonable electronic method.

Vendors are responsible for maintaining a current email address and accurate contact information in their accounts.

Notices to Iqraa under this Agreement must be sent using the contact method designated by Iqraa on the Marketplace.

25. Governing Law

This Agreement will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

26. Separate Written Agreements

Iqraa and a Vendor may enter into a separate written agreement establishing special commercial arrangements, programs, commissions, fulfillment responsibilities, exclusivity rights, promotional arrangements, or other terms.

If a separate written agreement expressly conflicts with this Agreement, the separate written agreement controls with respect to that specific conflict.

All provisions of this Agreement that do not conflict with the separate written agreement remain in effect.

27. Assignment

A Vendor may not assign or transfer this Agreement or its Vendor account to another person or entity without Iqraa’s prior written consent.

Iqraa may assign this Agreement in connection with a merger, acquisition, reorganization, sale or transfer of the Marketplace, or sale or transfer of substantially all assets relating to the Marketplace.

28. Entire Agreement & Severability

This Agreement, together with Marketplace policies expressly incorporated into it and any applicable separate written agreement between Iqraa and the Vendor, constitutes the agreement between Iqraa and the Vendor concerning the Vendor’s participation in the Marketplace.

If a provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by applicable law.

29. Electronic Acceptance

By checking the Vendor Agreement acceptance box during registration or otherwise affirmatively accepting this Agreement electronically, the Vendor acknowledges that it has read, understood, and agreed to be bound by these terms.

Electronic acceptance is intended to have the same effect as signing this Agreement to the extent permitted by applicable law.

Iqraa may maintain a record of the Vendor’s acceptance, including the Vendor account, date and time of acceptance, and version of the Agreement accepted.

The required registration checkbox should state:
